Engagement Process

  • 01

    Transaction Mandate Intake

Confidential intake of the transaction mandate: commodity category, origin and destination, volumes, pricing mechanism, and the specific advisory support required.

  • 02

    Counterparty Engagement

Identification and introduction of the appropriate counterparty — buyer or seller — matched to the commodity, jurisdiction, and transaction parameters.

  • 03

    SPA Coordination

Advisory support on the Sale and Purchase Agreement: structure, key terms, payment conditions, and instrument requirements — working alongside the client's appointed legal counsel.

  • 04

    Instrument Advisory

Coordination of the payment instrument — typically a documentary letter of credit (DLC/MT700) — including bank selection, instrument wording, and compliance documentation requirements.

  • 05

    Logistics Facilitation

Advisory coordination of quality and quantity verification, inspection certificate requirements, and shipping and logistics interfaces relevant to the transaction.

  • 06

    Transaction Close Support

Coordination through to transaction completion: compliance document review, instrument presentation support, and communication management between all parties at settlement.

Positioning Note

VIVAR does not buy, sell, hold, or trade commodities. VIVAR's role is advisory and coordination. All commodity title and risk rests with the transaction principals.
